Ecuador’s headline taxes are high, its incentives generous. Here is what investment contracts and free zones really give, how the approval works, how stable the promises are — and when a Paraguayan base does the job without them.
Ecuador’s general rates are not low: 25% corporate tax, 15% VAT, 5% on money leaving the country and 15% of profit to employees. Its incentives are generous by comparison, and since the Ley Orgánica de Eficiencia Económica of December 2023 they are concentrated in two tools: investment contracts negotiated with the State and free zones, which replaced the old special economic zones (ZEDE).
Foreign direct investment has responded: US$1.3 billion in 2025, the highest since 2019, and US$715.5 million in the first half of 2026, double the year before. This guide sets out what each regime gives, who qualifies and how far you can rely on it.
Law and practice: Ley Orgánica de Eficiencia Económica y Generación de Empleo (Registro Oficial, 20 December 2023) and its regulation, Executive Decree 157 of 7 February 2024; Central Bank of Ecuador FDI data, March and October 2026.
| Regime | Main benefit | Who it suits |
|---|---|---|
| Investment contract (CEPAI) | Up to 5 points off corporate tax; tax stability up to 15 years; no ISD or duties on capital goods and raw materials | New investments that create jobs |
| Free zone | 0% corporate tax for 5 years, then 15%; no VAT, ISD or import duties; dividends exempt | Export manufacturing, logistics, technology services |
| Optional tax stability | Frozen rules for 5 years, at the general rate plus 2 points | Any taxpayer that values predictability |
| Sector exemptions | Income tax exemption: 10 years for renewable energy, natural gas and green hydrogen; 7 years for qualifying tourism | Energy and tourism projects |
| Hiring deductions | Extra deduction of 50–75% of salaries for young workers and other listed groups | Employers hiring from those groups |
Law and practice: Rates and terms from the 2023 law and advisers’ summaries; the exact reduction and term are negotiated in each contract.
An investment contract freezes the tax rules that apply to the project for up to 15 years, renewable once, and can reduce corporate tax by up to five percentage points. Imports of capital goods and raw materials for the project are exempt from ISD and customs duties. The total benefit cannot exceed the amount invested.
New jobs
Since 2023, a “new investment” must create employment, checked against social security payroll records.
Recent money only
Only investment made in the two years before the application counts.
No VAT exemption
The 2023 law removed the VAT exemption on imports for contract projects.
Minimum size
Practitioners cite about US$1 million; confirm the threshold for your sector before applying.

In 2024 Ecuador signed 39 new investment contracts covering US$1.3 billion. The process works, but it is a negotiation with several ministries, not a registration.
Free zones offer the strongest tax package in Ecuador: no corporate tax for five years, then a fixed 15%; no VAT, ISD or import duties on operations; exempt dividends; and VAT refunds on local purchases. Former ZEDEs could convert until February 2025 and keep the remainder of their five-year holiday.
New zones are being declared — ZOFRAPORT in Posorja, next to the deep-water port, and Paseo Tablado in Pascuales near Guayaquil were added in 2025. For a foreign company, the usual route is to become an operator inside an existing zone rather than to develop one.
Law and practice: Production Code (COPCI), arts. 50.3–50.20 and 125.1, as amended in 2023; Ministerial Agreement MPCEIP-MPCEIP-2024-0081-A (transition of ZEDEs).
Ecuador has a long history of changing tax rules: the ISD went from 5% to 3.5% and back to 5% in four years, and the import credit for ISD disappeared at the end of 2024. That is exactly why the investment contract and the stability regime exist — they turn a policy into an enforceable promise.
The political frame is steadier than the headlines suggest. In the November 2025 referendum, voters rejected a constituent assembly, so the current constitution and the laws behind these incentives remain in place. The practical lesson: if an incentive matters to your business case, put it in a contract.
Paraguay’s ordinary regime — 10% corporate tax, 10% VAT, no tax on money leaving the country — already beats most of Ecuador’s incentive packages, without negotiation. For a company that serves Ecuador from outside, that is often the better base. Ecuador’s incentives earn their place when the investment has to be physically in Ecuador: a plant, a packing facility, port logistics or energy.
If not in Ecuador, compare with a Paraguayan base first.
Contracts suit larger projects with real job creation.
Free zones suit export; contracts suit domestic production.
Stability matters most for projects over five years.
Mainly investment contracts (up to 5 points off corporate tax, stability up to 15 years, ISD and duty exemptions on imports) and free zones (0% corporate tax for 5 years, then 15%, with VAT, ISD and duty exemptions).
An agreement with the State, approved by the investment committee (CEPAI), that freezes the tax rules for a project and grants the benefits set out in the 2023 Economic Efficiency Law.
They have been replaced by free zones. Former ZEDEs could convert until February 2025 and keep the rest of their tax holiday.
The law does not fix one figure in the sources we reviewed; practitioners cite about US$1 million. Confirm with the investment ministry for your sector.
Several months: ministry reports within 15 days each, the Finance Ministry opinion within 60 days, then the committee resolution and signature.
Tax rules change often, which is why contractual stability matters. The November 2025 referendum rejected a new constitution, so the current legal basis stands.
The tax most incentives are designed to remove.
